内容简介

Consulting Agreements Line by Line explains the crucial legal and practical distinctions between independent consulting and employment relationships, guiding the practitioner concept by concept and clause by clause through a consulting agreement. The author, an experienced attorney in private practice, offers detailed commentary on understanding and distinguishing the nature of the consulting relationship, establishing the deal terms, and crafting a properly drawn agreement. The book steers the reader through user-friendly selections of alternative contract clauses with accompanying notes to establish and explain the nature and extent of the project, the consultant's assignments, and deliverables; the manner and means of the consultant's performance, including when, how, and where the work is to be done and restrictions on the consultant's competitive activities; the structure of the financial relationship and the respective obligations of the parties with respect to tax, insurance, and legal matters; limitations on the consultant's authority and liabilities; and principles of confidentiality, ownership of intellectual property, and publicity arising from the relationship. Consulting Agreements Line by Line is an organized and specialized approach to constructing and understanding a well-drawn consulting agreement. A CD-ROM is included, which provides searchable PDF and Word versions of the book and sample agreements.

The Line by Line series provides analyses of key contracts, agreements, and other documents pertinent to the practice of various areas of law. Each book includes full-text forms; additional sample provisions; descriptions of key terminology; detailed line-by-line guidance on the use and interpretation of each significant provision; options for alternate language where appropriate; relevant issues, statutes, and cases; and best practices for drafting and negotiating each document for both practitioners and clients alike. The included CD-Rom provides searchable PDF and Word versions of the book and sample agreements.
